The Contract Manager will report to the Senior Vice President over Administration and is responsible for ensuring consistent management of proposals and contracts with Dewpoint’s growth, longevity, and diversification as key objectives for success. The individual filling this role will be expected to oversee the entire contract management process, including development of specific standards for bidding and submission, contract negotiations, change control, compliance, dispute resolution, service levels, scope of work and document management. The Contract Manager is expected to work in conjunction with Business Development, Pre-Sales, Sales, Service Delivery, Finance, Budget, Legal and Human Resources.

Job Requirements

  • Responsible for contracts (including formal, short form, and annual contracts)
  • Drafting, evaluating, negotiating, and executing:
  • Non-Disclosure Agreements, Sales/Purchasing Agreements, Sub-contracts, Consulting Agreements, Licensing Agreements, Master Agreements, Review of customer proposed terms and conditions
  • Distribution Agreements (resellers, agents, joint marketing, etc.)
  • Commercial and Public (Federal, State, and Local Municipalities) Contracting
  • Serve as the authority on contractual matters on behalf of the company, ensuring timely review and approval/reconciliation of variations
  • Provide redlined recommendations and often negotiate directly with customer attorneys and/or purchasing staff until consensus has been reached on all standard and nonstandard contracts
  • Maintain contractual records and documentation such as receipt and control of all contract correspondence, customer contract information sheets, contractual changes, status reports and other documents for all projects
  • Provide guidance on contract matters including training employees in contracting practices and procedures
  • Create a set of enterprise wide standards and best practices establishing ease of use contracting mechanisms that enable flexibility and speed
  • Develop and implement procedures for contact management and administration in compliance with company policy. Contribute to or influence company policies
  • Monitor compliance by company employees with established procedures, and identify areas of recurrent pressure
  • Work with Finance to coordinate contractual insurance requirements and risk management recommendations
  • Work with Finance to ensure adherence to broader finance and risk requirements such as revenue recognition, pricing and discounting policies, export controls, etc (may include “financial engineering” and understanding/evaluating economic impact of terms and term options)
  • Support Product Management/Marketing to ensure company products and services are offered with appropriate, competitive terms and conditions
  • Monitor competitive terms
  • Monitor customer satisfaction with our terms and conditions and contracting practices, recommending changes as needed
  • Ensure that signed contracts are communicated to all relevant parties to provide contract visibility and awareness, interpretation to support implementation
  • Monitor transaction compliance (milestones, deliverables, invoicing, etc)
  • Oversee Service level agreement compliance
  • Ensure contract close-out, extension, or renewal
